Your Agreement with Ethan’s Logistics

These Terms and Conditions (“Terms”) govern your use of our logistics and freight services, website (www.ethanslogistics.com), mobile applications, and related platforms. By accessing or using our services, you agree to be bound by these Terms, as well as applicable laws in Kenya and internationally. Please read them carefully.

1. Acceptance of Terms

By engaging our services, booking shipments, or using our website, you agree to these Terms. If you do not agree, please do not use our services. We may update these Terms periodically, notifying you via email or our website. Continued use after updates constitutes acceptance.

2. Services Provided

Ethan’s Logistics provides logistics solutions, including but not limited to:

  • Air Freight: Fast, reliable air freight with guaranteed capacity, real-time visibility, and special handling.
  • Ocean Freight: Cost-effective ocean freight for bulk shipments, including Full Container Load (FCL), Less than Container Load (LCL), and specialized cargo.
  • Road Freight: Efficient regional and long-haul road transport with real-time tracking.
  • Warehousing & Management: State-of-the-art facilities for storage, inventory management, and tracking.
  • Customs Clearance: Expert assistance with import/export compliance and documentation.
  • Special Services: Tailored solutions for oversized, out-of-gauge, or project cargo.

Services are subject to availability, and we reserve the right to modify or discontinue any service at our discretion.

3. User Obligations

You agree to:

  • Provide accurate and complete information for bookings, tracking, and customs clearance.
  • Comply with all applicable laws, including Kenya’s Customs and Excise Act, 2015, and international trade regulations.
  • Pay all fees and charges on time, as outlined in our pricing agreements or invoices.
  • Notify us of any changes to shipment details or contact information promptly.

Failure to comply may result in service suspension or termination without refund.

4. Fees and Payments

Our services are billed as per agreed quotes, contracts, or online rates. Payments are due within 30 days unless otherwise specified. Late payments may incur a 5% monthly interest charge, subject to Kenyan law. We accept payments via secure third-party providers, and all transactions are governed by our Privacy Policy.

5. Intellectual Property

All content on our website, including logos, images, and text, is Ethan’s Logistics’ intellectual property or licensed to us. You may not reproduce, distribute, or modify it without written permission, except for personal, non-commercial use as permitted by law.

6. Limitation of Liability

Ethan’s Logistics is not liable for delays, damages, or losses caused by events beyond our control (e.g., natural disasters, strikes, government actions). Our liability for cargo damage is limited to the value declared on the Bill of Lading or KES 1,000,000, whichever is lower, unless otherwise agreed in writing. This aligns with Kenya’s Carriage of Goods by Sea Act and international conventions (e.g., Hague-Visby Rules).

7. Termination

We may terminate or suspend your access to our services if you breach these Terms, fail to pay, or engage in fraudulent activity. Termination does not relieve you of payment obligations or liabilities incurred prior to termination.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Any disputes will be resolved through arbitration under the Kenya Arbitration Act, 1995, in Mombasa. If arbitration fails, you may seek resolution in the High Court of Kenya, Mombasa Division. For international clients, we may agree to apply the laws of your jurisdiction, subject to mutual written consent.

These Terms constitute the entire agreement between you and Ethan’s Logistics, superseding prior agreements. If any provision is deemed unenforceable, the remainder remains valid. We may assign these Terms to a successor without notice, but you may not assign without our consent.
